Fontanet & Partners advises businesses on the legal structuring and establishment of companies and/or subsidiaries, as well as on the negotiation, drafting and monitoring of all related documents (organisational and administrative regulations, shareholders’ agreements, etc.). In addition, we provide support to the business in question, in particular with regards to the holding of general meetings (ordinary and extraordinary ), the preparation of corporate documents, the holding and documentation of board of directors’ meetings and the updating of the registers of shareholders and beneficiaries.
As of November 1, 2019, bearer shares will only be authorized for listed companies or if these shares are issued in the form of intermediated securities. Any company that has bearer shares must keep a list of shareholders enabling the identification of holders and where applicable beneficial owners.
The boards of directors of companies whose capital still consists of bearer shares must take steps to convert them into registered shares or issue them in the form of uncertificated securities until 30 April 2021 at the latest. Holders of bearer shares must be registered within the same timeframe. Failing this, their shares are automatically converted into registered shares and their rights are suspended. They however may still recover their rights if they register within five years. After this period, the status as a shareholder is definitively lost.
